Version 2026-10-23. You read and sign this inside Groundwork the first time it opens; the program does not open until you have.
Groundwork Platform, Inc., a Delaware corporation with its office in Powhatan, Virginia ("Groundwork"), and you, the person who types their name below ("you"). If you are using the software for a company, you are agreeing for that company too, and you confirm you are allowed to.
Groundwork is letting you use a pre-release ("beta") copy of its software, the Groundwork building plan generator, so that you can try it and tell Groundwork what you think. It is not for sale, not licensed for production work, and it may have mistakes. This agreement is the condition of your using it.
The software, its screens, its menus, the way it works, the rules and data inside it, the documents it produces for you, the notes that came with it, and anything you learn about it are Groundwork's confidential information and trade secrets. You will keep all of it confidential, use it only to evaluate the software, and not show it or describe it to anyone outside your own company who has not signed this agreement with Groundwork.
You will not copy, distribute, post, publish, sell, rent, lend, or transfer the software or any part of it, and you will not let anyone else use your copy. You will not reverse engineer, decompile, de-obfuscate, or otherwise try to recover its source code, rules, or data, and you will not use it, or what you learn from it, to build or help build a competing product. You will not remove or change any notice in it. Screenshots and sample drawings may be shared only with Groundwork.
Drawings, schedules, estimates and other documents you make with the software are yours to use to evaluate it. They are PRELIMINARY WORKING DOCUMENTS, not sealed construction documents: do not permit, bid, or build from them without review and sealing by the licensed professionals your project requires.
Anything you tell Groundwork about the software — problems, ideas, wishes — Groundwork may use freely, without any obligation or payment to you.
The software is provided as is, with no warranty of any kind. Groundwork is not liable to you for any loss, cost, or damage that comes from using it or relying on anything it produces. You use it at your own risk.
This agreement starts when you agree and runs until Groundwork ends the evaluation or asks you to stop, whichever is first. When it ends, or whenever Groundwork asks, you will delete every copy of the software and confirm to Groundwork in writing that you have. Your confidentiality duties continue for five years after the evaluation ends, and for trade secrets for as long as they remain trade secrets.
You agree that breaking the confidentiality or no-copying promises would cause Groundwork harm that money alone cannot repair, so Groundwork may ask a court to stop the breach, in addition to any other remedy.
This agreement is governed by the laws of the Commonwealth of Virginia, and any dispute will be heard in the state or federal courts sitting in Virginia.
By typing your name, ticking the box and choosing I AGREE, you are signing this agreement electronically, with the same effect as a signature on paper (the federal E-SIGN Act and the Virginia Uniform Electronic Transactions Act). The software records your name, your company, the date and the version you agreed to, on this computer. Save a copy for your files; Groundwork may ask you for it.
